GENERAL TERMS OF SALE

 

  1. Conclusion of the contract. Purchase orders or payments constitute the conclusion of the contract, which involves full acceptance of Rubelli sales conditions, including the competent court and applicable law. The contract also involves the customer’s commitment to respect the ban on the direct or indirect trade or transfer of products to persons, entities or countries which are subject to sanctions, according to the current Italian and European laws, particularly UE Regulations 2006/765, 2014/208, 2014/269, 2014/833, 2024/2642.
  2. Orders confirmation. These terms of sale apply to the orders of all Rubelli products. The orders must be placed through the following channels: directly with our customer service, with our agents, by e-mail or fax. In all cases, orders must be written: we will not accept any orders placed by whatsapp. In particular, orders:
    1. must include all the following information: items name and code, specifications, quantity, address and customer’s VAT account;
    2. may be refused by Rubelli, in case of prejudice to the local authorized dealers;
    3. after being confirmed, they can neither be changed nor cancelled, unless of specific agreement with Rubelli. In case of accepting the cancellation or the return of a textile order, Rubelli will apply 20% penalty as handling expenses.
  3. Products technical details. The products description is an indication. Rubelli reserves the right to change technical details such as pattern, construction, materials and dimensions, as well as to discontinue any time items that for technical reasons can no longer be supplied.
  4. Certifications and custom changes. All certifications and custom changes must be asked for before making the order firm.
  5. Custom products. Such products are not stock items: we produce them upon customers’ specifications, upon quoting and receiving a firm order. The customer will have to accept the production quantity tolerance advised at the time of the order, buying the entire produced quantity. For textiles, the tolerance averages from +/-5% to +/-10% on the ordered quantity.
  6. Packaging. The prices include standard packaging (plastic and/or carton box for textiles and acoustic panels: carton for most furniture pieces). Other kinds of packages may be available on a quote basis. In all cases, Rubelli reserves the right to change the packaging at their sole discretion.
  7. Payment terms are written on the proforma or on the final invoice. In case of late payments, interests will apply according to the current legislation, i.e. DL 9 October 2002, n. 231, implementation of directive 2000/35/CE which regards combating late payments in commercial transactions.
  8. On-line sales. If a customer wishes to sell Rubelli products on-line, they must first inform Rubelli about the details of such sale, so that Rubelli may have the possibility to oppose, in case such sale may prejudice the Rubelli brand prestige. Sales on generalist websites is always deemed as harmful to the prestige of the brand.
  9. Rubelli Group trademarks unauthorized use. Rubelli Group trademarks may be used only upon Rubelli’s written approval; the trademarks of the Rubelli Group are registered. Any improper use, reproduction or generally any use of the trademarks, company names and logos that was not expressly permitted in writing by Rubelli must be considered prohibited and will be prosecuted legally.
  10. Retention of title. Rubelli reserves the ownership of the goods until full payment of the corresponding amount, including any accessory costs. In case of non-payment, Rubelli reserves the right to request the return of unpaid goods. This clause does not prevent the goods to remain at the risk of the client, as regarding to the loss or damage of the goods sold.
  11. Production lead time. Fabrics and wallcoverings are normally available in our warehouse. However, if unavailable, we will promptly advise about the expected production lead time. Furniture and acoustic panels are made to order with a general lead time of 8/10 weeks for furniture and 4 weeks for acoustic panels. In all cases, production lead time will be advised at the time of the order, excluding holidays and starting from the receipt of the downpayment required in the proforma. For furniture, the lead time also starts from the full receipt of all COM/COL. The lead time is an indication which cannot be guaranteed. No delays due to force majeur may justify a complaint nor the order cancellation. In general, unless of specific agreements, Rubelli will determine from time to time if partial shipments may be an option.
  12. Transport. Terms are indicated in proformas and final invoices. Transit time is in addition to the production lead time. In case the price includes transport, unless otherwise indicated, it is a free on truck service: the consignee must take care of unloading goods from the truck, bringing them inside, removing trash and installing. It is the customer’s responsibility to make sure that goods may get through doors, stairs, windows or lift. Rubelli will bear no responsibility in case the installation or the access are not possible.
  13. Manufacturing and installation must be carried out by qualified professionals, following Rubelli’s instructions. Rubelli will not bear any responsibility for damages due to wrong manufacturing, handling or installation.
  14. Storage. In case the customer is unable to receive or collect the products on the agreed date, they must advise within 5 working days’ notice. In such a case, Rubelli may accept to store goods for free up to 15 days after the order completion date. Starting from the sixteenth day, storage charges will apply, for an amount up to 2% of the order value per week. In all cases, unless otherwise agreed, Rubelli may accept to store goods for max. 6 months: after this period Rubelli will determine whether the order should be considered cancelled according to c.c. 1456 law: in such a case, the deposit will be kept as a partial compensation for the production and storage costs incurred with and Rubelli will advise whether some additional reimbursement for damages is due.
  15. Goods receipt. When receiving goods, the customer or the consignee will have to:

    1. Confirm goods receipt and – in case the package shows some damage – write on the CMR or on any other delivery note “damaged packages accepted under reserve”;
    2. Take photos and keep the damaged package;
    3. Check goods conditions. In case of damages, take photos showing all damages;
    4. Notify Rubelli about any apparent defects, attaching all the above mentioned documents to the Customer Service, at the latest within 8 days from delivery.
  16. Complaints. The customer must check carefully any product before use or manufacturing, even when goods have been shipped to a third party. Rubelli will accept no complaints missing information or received beyond the above mentioned terms. Goods which are being complained must not be used. In case of accepting the complaint, Rubelli will send a replacement for the defective products or, as an alternative, will reimburse the paid amount. In no case will Rubelli accept any complaints for goods which have already been manufactured, installed, assembled or used. In no case will Rubelli reimburse any costs for manufacturing, installation or other costs borne by the customer.
  17. Damages due to improper use. Rubelli will bear no responsibility for damages or losses due to wrong or unusual use of our products.
  18. Intellectual property. Unauthorized uses of our design and know-how will be prosecuted legally, as well as any violation of rights related to our intellectual property.
  19. Privacy. Personal data will be processed exclusively for the execution of obligations deriving from existing contractual relationships. IT tools support the process, in order to guarantee their confidentiality and security, in compliance with the applicable laws.
  20. Jurisdiction unless otherwise agreed in writing, the contract is ruled by the Italian law.
  21. Court. In the event of a dispute, the sole competent courts are the Court of Venice for the sales made by Rubelli spa and the Court of Paris for the sales made by Rubelli SA.

 

TERMS SPECIFIC TO TEXTILES BRANDED RUBELLI, KIEFFER AND KIEFFER BY RUBELLI

  1. Recommended use: the recommendations for the use of the fabrics must be understood as general guidelines and must be interpreted and applied according to the criteria of the customer’s appointed professional (upholsterer, installer). Therefore, the professional will be the sole responsible for choosing the most appropriate way of using the products, taking into account the needs of the customer. The duration of a fabric is significantly influenced by factors such as the type of padding, the upholstery technique, the frequency of use and the accuracy with maintenance.
  2. For reversible items, the customer is responsible for providing instructions to their appointed professional about the side they wish to use.
  3. Double width fabrics allow optimizing consumption. Most double width fabrics may be used in both directions. When calculating the necessary quantity, we recommend determining the direction you wish to use, as well as repeat and pattern to match.
  4. Small imperfections in the fabrics (such as slight color nuances, small knots and slight thickness variations) can be intrinsic characteristics of the fibers used, which cannot be subject to complaints. Velvets or chenilles used for seating undergo crushing of the original pile’s direction, involving a change of its reflection that creates shading. This characteristic is not caused by manufacturing defects and cannot be a reson for a complaint. Particular attention must be given to how velvets are stored: velvet rolls must always be placed horizontally, suspended in their box.
  5. All fabrics, especially those made of natural fibers, absorb moisture by lenghtening or shortening. Therefore, a variation is to be expected both in the ordered cut lengths as in the width mentioned in our catalogues and pricelists. It is impossible to precisely advise the ratio of these dimensional variations, having to take into account aspects like composition, weaving techniques, use and maintenance, etc. As an indication, dimensional variations are normal up to +/- 5% for moiré or calendered fabrics or for those containing viscose or linen and up to +/-3% for the other fabrics. Within these limits we won’t accept any complaint. Please consider this information before calculating the needed quantity, in particular for curtains or wallpapers. If a fabric must be applied to a wall, we recommend keeping the fabric unrolled in an properly humidified room for a few days, so that it may become dimensionally stable. We decline any responsibility in case of sagging or creasing of the fabrics due to noncompliance with the aforementioned indications.
  6. The pattern sizes of our jacquard fabrics are to be understood as indicative and, for technical reasons, they may undergo variations of +/-5% from batch to batch.
  7. Slight variations of color are inevitable in different batches, as well as between samples and stock pieces, especially in case of natural fibers, velvets and chenilles. If an exact match is required, we recommend you requesting for a CFA from the available stock before confirming the order.
  8. Fabrics undergo light fastness tests to ascertain their resistance. However, in particular atmospheric conditions or direct exposure to sunlight or halogen lamps, discoloration may happen which is not attributable to the dyeing quality. For items with a dark or intense colour, a loss of colour due to rubbing cannot be excluded. In case silken fabrics are used for curtains we always recommend the use of a lining.
  9. In the case of printed, embroidered or floc fabrics, the advised width refers to the usable part of fabric that shows the print, the embroidery or the floc, not to the overall width from selvedge to selvedge: the latter may vary, which cannot be subject to complaints. It is technically impossible to guarantee a perfect horizontal alignment for fabrics with a pattern repeat; please take this into account when packing Roman blinds, panels or when installing wallcovering.
  10. Our collection includes some fireproof fabrics suitable for contract and cruise ship use. Please check our website or contact our sales office for more information about the available certifications and about the development of special products.
  11. Upon request, many fabrics of the collection may be submitted to additional finishes (anti-stain, fireproof, resin-coat, backing). For details about procedures, lead time, minimum quantities and costs please contact our sales offices, explaining the final use of the selected fabric. Additional treatments may require extra length due to production waste.
  12. In case the ordered cut shows some weaving imperfections due to the nature of the fibres used, we will supply an additional free of charge allowance.
  13. Shipment: we ship velvets packed in specific boxes which keep them horizontally and in suspension. It is necessary to store them within their suspension boxes keeping them horizontally until the time of manufacturing: in no case can the packages be stored vertically. Shipment of double width fabrics, with few exceptions that are duly notified, are carried out folding the fabric in the width, to reduce the risk of damage. The parcels must be opened immediately at the receipt. In order to avoid creasing, the fabric must be immediately unrolled and kept unrolled until it comes the time of manufacturing. Sheers that are wider than 2 m and velvets may be subject to extra transport costs and longer delivery times, due to special handling and storage requirements.

 

TERMS SPECIFIC TO WALLCOVERINGS

  1. Complete instructions for wallpaper installation are mentioned on the back of the label that is sent inside the roll. These instructions can also be downloaded from our website, within the item’s description. Rubelli declines any responsibility in the event of noncompliance with these instructions. Before using the wallpaper, make sure that the rolls are from the same production batch and in sequence (rolls are numbered).
  2. Always check the final look of the wallpaper after installing the three first sheets. Rubelli will not accept any complaints for defects in the wallcoverings if more than one roll (or 3 sheets) has been installed. In no case will Rubelli reimburse the installation expenses of disputed wallpapers.
  3. For the wallcoverings sold by the roll we can supply standard samples but not samples cut from a specific batch.

 

TERMS SPECIFIC TO FINISHED PRODUCTS BRANDED RUBELLI CASA

  1. Technical specifications: the dimensions written on the catalogue are approximate. Since these are artisanal products, it is necessary to allow 1% tolerance in the dimensions of upholstered furniture and 0.5% in the dimensions of casegoods.
  2. Wood is a natural anisotropic material, particularly sensitive to humidity: slight cracks may develop in the joints. This cannot be subject to complaints.
  3. Upholstery fabrics: our furniture may be upholstered with a wide selection of Rubelli fabrics, as stated in the catalogue. In case the customer wishes the upholstery by their own material (COM/COL), it will be their responsibility to send Rubelli a sample for approval in A4 dimensions and wait for Rubelli’s written approval before ordering the material. Rubelli will bear no responsibility in case of COM/COL ordered by the client without waiting for Rubelli’s approval or against Rubelli’s advise. Samples must be sent to Rubelli Spa – Attn. Customer service, via della Pila 47, 30175 Marghera – Venezia. Samples must be sent together with width and repeat information, as well as appropriate instructions regarding side, direction of application and specific manufacturing advice (if any). Missing this information, the fabric will be applied at Rubelli’s sole discretion. The sample is required only to check the possibility of application to our models. Rubelli does not make any tests regarding fabric durability, colour fastness nor any other performance or maintenance specifications: for all these aspects the client is kindly required to check with the material’s supplier. After receiving the sample approval, the client will have to ship the material at their own expenses to: Rubelli spa – Ref. Proforma no…. Via Bottenigo, 171 – 30175 Marghera – Venezia. Both samples and materials must be shipped with appropriate labels stating the material name and code, supplier’s and client’s names. These details are necessary to identify the materials promptly: Rubelli will bear no responsibility in case of losses or delays due to issues with identifying the materials because of missing labels.
  4. COM/COL quantity: the quantities indicated in the catalogue refer to plain fabrics width 140 cm. COL quantities refer to full hides measuring about 5 sqm. In case of fabrics with a lower width or smaller hides, the quantity must be checked with Rubelli.
  5. Fabric choice: in general, we recommend upholstering curved models with plain fabrics or textures. In particular, we do not recommend upholstering such models with geometrical fabrics, stripes or large repeats. In case the customer wishes such a fabric, Rubelli will bear no responsibility if the result does not match with the client’s expectations. In case the order includes several pieces to be upholstered with the same fabric, unless otherwise advised, the fabric application may change from piece to piece. Rubelli reserves the right to apply additional costs in case of manufacturing issues due to special materials or too defective materials. Rubelli will bear no responsibility in case of problems with manufacturing, results other than expected by the client, delays due to COM/COL late arrival or missing information.
  6. Some upholstered pieces are finished with a welt (piping): in order to guarantee a more homogeneous result, we recommend doing the welt with a plain flat fabric.
  7. In general, upholstered furniture may show some creases, which may be more or less pronounced, depending on the model and on the upholstery fabric. Some fabrics may accentuate the normal upholstery creases, particularly in the concave parts of the model. Sofas with large seat cushions may develop more creases than sofas with single smaller seat cushions. Signs of creasing may develop depending on the frequency of use. We recommend regular and simple maintenance: tidying up the cushions and spreading the fabric back to shape, simply by hand. This detail may vary from the pieces in the showroom, due to several elements. In no way can this be considered a defect.
  8. Seaming details may vary from those on showroom samples: these changes are made at the discretion of the factory, which may introduce some change in order to get the best quality results for each specific combination between furniture model and upholstery fabric.
  9. Warranty: these products are covered by the warranty against original defects in workmanship of the structural parts consisting of:

    • The wood frame
    • Springs
    • Filling materials
    • Defects in the wood finish
  10. The warranty includes the free replacement or repair of unusable or defective items verified and recognized by Rubelli. No other service or liability is included in the warranty. Any repairs made under warranty will not interrupt the warranty period. The warranty does not cover:

    • Damages caused by outdoor use
    • Damages caused by normal wear
    • Damages caused by inappropriate use
    • Damages caused by accidents
    • Damages caused by defects or accidents of any kind in the building systems and fixtures
    • Damages to the finish such as scratches, hurt, abrasion, chemical injuries, spilling substances other than the ones recommended for correct maintenance
    • Damages caused by lacking or bad maintenance
    • Damages caused by extreme climate conditions, as well as high climatic changes or humidity
    • Consequences of any accidents whatsoever not related to the production process
    • Consequences of wood natural characteristics, such as light cracks in the joints, colour changes related to wood veins, etc.
    • Consequences of inappropriate repairs made without Rubelli’s written authorization
    • COM/COL provided by customer’s own suppliers. In no case will Rubelli bear any responsibility for COM/COL quality results, durability, fade resistance and maintenance over time
  11. Warranty voiding. The warranty will be void in the following cases:

    • The damage has not been notified within 60 days since it showed
    • The products have been disassembled, modified or repaired without first receiving Rubelli’s written authorization.

FURNITURE

In general our furniture and accessories are meant only for indoor use, since they have not been treated for outdoor use. In addition, we recommend avoiding exposure to direct sunlight, since this may change finish, aspect and colour of the materials.
For all materials, we recommend using dining table pad, placements and coasters on furniture to protect from spills, stain and heated objects. Do not use plastic or rubber on surfaces (particularly wood), as they may damage the finish. Use felt under objects set on top of furniture in order to avoid scratches.
For regular maintenance use only a clean cloth slightly damped with a small dose of product recommended for the specific surface: never soak the cloth, since excess of humidity or excess of product may damage the surface. Do not use abrasive cleansers nor any solvent base products nor vinegar or lemon-based cleansers for the bathroom. Make sure that there is no remaining soap on the surface. Do not clean by using paper cloths nor any other abrasive material, since they can scratch the surface.

 

CARE AND CLEANING FOR STAINED WOOD

Excessive dampness, dryness, heat or cold can damage wood furniture. As wood is a natural product, high and low humidity will cause movement in the joints. Wipe up spills immediately to prevent spots that could ruin the finish. To remove dust from furniture surfaces, vacuum with a dusting brush attachment or use a clean, soft cloth. If there is any ground-in dirt, use a mild wood cleaner. After the dirt is removed, wipe away with a clean, dry cloth to remove any additional residue. To clean, wipe down with a damp cloth and dry immediately. For upholstery materials belonging to the Rubelli group please check maintenance instructions in Rubelli catalogue or in the Internet site www.rubelli.com. For other suppliers’ COM/COL please refer to their own instructions.

 

CARE AND CLEANING FOR LACQUERED SURFACES

Excessive dampness, dryness, heat or cold can damage wood furniture. As wood is a natural product, high and low humidity will cause movement in the joints. Wipe up spills immediately to prevent spots that could ruin the finish. To remove dust from furniture surfaces, vacuum with a dusting brush attachment or use a clean, soft cloth. After the dirt has been removed, wipe away with a clean dry cloth to remove any additional residue. Do not use any detergents nor cleaning products of any kind.

 

CARE AND CLEANING FOR GLASS

For smooth and shiny surfaces use a damp cloth to remove any dust that may have built up. To clean away dirt, use a mild eco-friendly glass cleaner. Make sure to wipe thoroughly.

 

CARE AND CLEANING FOR METAL

Remove dust by using a soft cloth. In order to remove dirt, use very little mild soap and water on a soft cloth. After the dirt has been removed, wipe away with a clean, dry cloth to remove any additional residue. Never use brass polish nor abrasive cleaners. Our metals are not treated for outdoor environments; the finish may oxidize if exposed to a humid environment. Please note that metals can be scratched easily: do not use any paper towels nor any rough items to clean: after metals have been scratched, you cannot remove the scratches on your own.

 

CARE AND CLEANING FOR MARBLE, ONYX, STONE OR GRANITE

As marble is a natural product, veining and other natural lines in the stone are part of its natural beauty and will vary from piece to piece. Marble is porous and stains easily. For general stone care, wipe up spills immediately. To clean stone tops more thoroughly, use a mild detergent solution. Clean spills with a soft, damp cloth using a blotting motion. If necessary, use a mild, pH neutral specialty stone cleaner. Marble which has become dull can be livened up by using a commercial marble cleaner and polish. Do not use wood furniture polish to clean the stone. It will result in the stone changing colour.

 

CARE AND CLEANING FOR LEATHER

Leather is a natural product. Any scratches and surface marks should not be considered a defect but an inherent characteristic of the leather. Each dyed piece may vary in colour and overall appearance. Never place leather in direct sunlight, as it can change the colour or cause the finish to fade. To clean, wipe down with a damp cloth to remove any dust. Leather will tend to dry out and crack over time if it is not maintained. We recommend a light coat of a non-solvent-based leather cream to be used to keep the leather supple. Do not over rub the leather as it will remove the finish and strip away the colour.

 

CARE AND CLEANING FOR RESIN PRODUCTS

Resin products should be cleaned only with water and soap or with a detergent free from abrasive substances or alcohol. The resin has got an electrostatic charge that naturally attracts dust. For this reason, after cleaning, the surface should be treated with a soft cloth slightly damped with an antistatic substance. Such a treatment should be carried out once a month.

 

ACOUSTIC PANELS

Acoustic panels may be vacuum cleaned regularly. If necessary, you can wipe them with a slightly damped cloth. Should it be required, they can be disinfected spraying alcohol at a distance and then cleaned with a soft cloth.
